The Finance & Governance Conference will be held at the Charleston Place Hotel
in Charleston on October 27-28, 2002.

Keynote Addresses:
Larry Bossidy, former Chairman & CEO of Honeywell, is one of the world's most acclaimed CEOs, a man with few peers who has a track record for delivering remarkable results--at Honeywell, at AlliedSignal, and at GE Capital. He will share his knowledge and experience on CEO accountability: how to close the gap between results promised and results delivered.

Professor Charles Elson, Director of the Center for Corporate Governance at the University of Delaware will discuss howrecent events have focused on the value and importance of director equity ownership and independence in conjunction with executive and director compensation. This session will examine, in light of the corporate governance controversy sparked by the Enron scandal, how boards and executives will approach the now, even more delicate issue of executive compensation and how shareholders may respond.

Peter Gleason, COO and Director of Research at the National Association of Corporate Directors, will address the impact of the Enron collapse on corporate directors, regulatory actions that may result, and the tenants of good corporate governance that can preempt such crises. He will also discuss the collaborative effort that NACD, at the request of Congress, has led among the corporate governance community to recommend core governance practices for corporate boards.
